UK Modern Slavery Act 2015

INTRODUCTION

This statement is published in accordance with the U.K. Modern Slavery Act 2015. It sets out the steps that Meso Scale Diagnostics, LLC. (“MSD”) has taken during the financial year ending December 31, 2022 and will continue to take to prevent slavery, child labor, and human trafficking in its business and supply chain. All references to MSD herein include MSD and its affiliates.

ABOUT MSD

MSD is a privately-held company that was founded in 1995 and has been selling instruments and associated consumables for immunoassays since 2001. MSD's instruments and consumables for biological measurements are based on proprietary methods of electrochemiluminescence detection. MSD’s MULTI-ARRAY platform enables simple, rapid, sensitive, and simultaneous measurements of multiple analytes from a single biological sample. MSD’s headquarters, research, and manufacturing facilities are located in Rockville and Gaithersburg, Maryland. MSD has sales, service, and support personnel located throughout North America, Europe and Asia with over 900 employees world-wide. MSD’s affiliates include Meso Scale Discovery, Inc., Meso Scale UK Limited, Meso Scale Japan KK., Meso Scale (Shanghai) Training Co., Ltd., Methodical Mind, Inc., and Methodical Mind, LLC.

MSD’S COMMITMENT

Modern slavery and human trafficking are fundamental violations of human rights and abhorrent crimes. MSD has a zero-tolerance approach to modern slavery and human trafficking in its business and is committed to improving its practices to ensure that modern slavery or human trafficking does not take place within its own business or in its supply chain. MSD is committed to following professional standards of ethics, honesty and integrity in its relationships and to complying with all applicable laws and regulations relating to its operations. MSD strives to ensure that its employees comply with these laws and regulations as well.

SUPPLY CHAIN

MSD is committed to ensuring that its supply chain reflects its company values, respecting human rights and the environment. MSD’s relationships with suppliers are based on lawful, efficient and fair practices. MSD expects its suppliers to obey the laws that require them to treat workers fairly and provide a safe and healthy work environment. In furtherance of this policy, MSD obligates its suppliers by its terms and conditions to comply with all applicable laws and regulations. MSD will terminate its relationship with any supplier it suspects of violating anti-slavery or human trafficking laws and regulations.

HUMAN RESOURCES

MSD ensures that its recruitment process is in line with all applicable laws and regulations and is reviewed on an ongoing basis. MSD’s human resources practices are designed to ensure that all employees are legally permitted to work in the country in which they are employed and to help safeguard employees from any type of abuse.

ASSESSING AND MANAGING RISK

MSD is committed to conducting its business in accordance with all legal and regulatory requirements and with the highest standards of ethical behavior. To this end, MSD has adopted corporate governance principles for business conduct and ethics to serve as a guide to help all MSD employees maintain the highest ethical and professional standards in the course of performing their job duties.

TRAINING

All MSD employees upon hire are trained on MSD’s Code of Ethics and Business Conduct which includes training on MSD’s issue reporting hotline to report violations of law and company policies.

MSD’S COMMITMENT OVER THE NEXT 12 MONTHS

Over the course of the next 12 months, MSD will be taking the following steps to ensure MSD’s and its suppliers’ adherence to slavery and human trafficking laws:

  • MSD will implement a Supplier Code of Conduct that among other things explicitly states that suppliers shall not use forced, bonded, involuntary, slave or indentured labor or involuntary prison labor.
  • As part of MSD’s supplier audit process, MSD will conduct, for high risk suppliers, an evaluation of the supplier’s labor practices.
  • MSD will revise its Code of Ethics and Business Conduct to include compliance with child labor laws and laws prohibiting any form of forced, bonded, or indentured labor or involuntary prison labor.
  • MSD will include as part of its new employee onboarding process the topics of slavery, human rights and forced labor.

This statement was approved by the Board of Managers of MSD as of December 31, 2022.
